Michael J. Moeddel, Partner, Business Representation & Transactions
Mike Moeddell has a breadth of experience in structuring and negotiating complex business transactions and representing businesses on a continuing basis. He has represented both publicly held and private companies in acquisitions and divestures of existing businesses. Transactions on which Mr. Moeddel has worked include cross-border acquisitions by publicly held companies; the sale of large family-owned enterprises to private equity firms and other sophisticated purchasers; international joint ventures; and strategic alliances. In addition, Mr. Moeddel has worked with a number of distressed businesses and investors in distressed business in structuring investments in and sales of their operations. In the negotiation of acquisitions, he represents clients in all aspects of the transactions, including structuring the transactions, negotiating financing terms and documentation to transitioning the business into a company’s existing structure. Mr. Moeddel regularly represents investors in structuring and negotiating private placements of securities, including venture capital and private equity transactions. He has represented angel investors, venture capital firms, private equity investors and mezzanine lenders in structuring investments in start-up and existing businesses. Mr. Moeddel has also worked with investee companies in negotiations corporate governance, and operational matters. Mr. Moeddel has worked with clients in public securities offerings and other complex financing transactions. His experience includes the representation of public companies regarding a wide variety of securities issues particular to public companies, including corporate governance matters and compliance with the Sarbanes-Oxley Act. He has also represented shareholders in situations where they are adverse to management. Mr. Moeddel is an adjunct professor at the University of Cincinnati College of Law and speaks on matters related to corporate and limited liability company law.

F. Mark Reuter, Partner, Business Representation & Transactions
Mark Reuter practices in the firm's Business Representation and Transactions Group. The focus of his practice is corporate and securities law where he has extensive experience in securities regulatory matters, mergers and acquisitions and public and private offerings of debt and equity securities. He is part of the team at Keating Muething & Klekamp that has overseen hundreds of corporate and securities transactions in recent years with an aggregate value in the billions of dollars. His experience includes public offerings, follow-on equity offerings, investment grade and convertible debt offerings, private placements and proxy solicitations.

Mark E. Sims, Partner, Business Representation & Transactions
Mark Sims works primarily in the federal income tax, business planning, and health care areas. Mr. Sims' federal tax practice involves individual, corporate, S corporation, and partnership tax planning, including executive compensation and like kind exchanges. He has been involved in numerous mergers and acquisitions, focusing primarily on tax analysis and disclosure of tax considerations. Additionally, Mr. Sims has significant experience focusing on tax issues related to the formation and operation of tax exempt organizations. Mr. Sims' business practice involves representing closely held businesses and family businesses regarding organizational, operational, and succession issues. His healthcare practice concentrates on the business and tax aspects of healthcare law, involving the representation of physician practices and other healthcare providers.

Laura H. Cox, Associate, Business Representation & Transactions
Laura Cox focuses her practice primarily in the area of federal and state taxation, where she advises clients on tax issues relating to entity formation, financing transactions, mergers and acquisitions, and the formation and operation of tax-exempt organizations. She also counsels trustees of mass tort settlement trusts on administrative and tax matters. In addition to her tax practice, Ms. Cox regularly advises closely-held businesses on general corporate and contract matters.

Bryan A. Jacobs, Associate, Business Representation & Transactions
Bryan Jacobs' practice includes representing corporate clients in a variety of business transactions, as well as advising publicly-held clients on matters related to SEC reporting and compliance, the listing standards of the New York Stock Exchange and Nasdaq Stock Market, and corporate governance matters. Mr. Jacobs has experience reviewing and preparing filings under the Securities Act of 1933 and Securities Exchange Act of 1934, preparing Williams Act and Section 16 beneficial ownership filings, and in Rule 144 transactions. Mr. Jacobs also has experience in the private placement of securities for both publicly-held and private companies and preparing related state “blue sky” filings.
